Terms of Service

By accessing or using the Switchstack platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

Switchstack provides a modular revenue platform including power dialing (Switchboard), CRM (Pipeline), AI coaching (Strategist), and lead generation (Growth Engine) features. You may use the Service only for lawful business purposes and in accordance with these Terms.

You agree not to:

• Use the Service in any way that violates applicable laws or regulations

• Use the Service to send unsolicited or unauthorized communications (spam)

• Attempt to gain unauthorized access to any part of the Service or its related systems

• Use the Service to harass, abuse, or harm others

• Reverse engineer, decompile, or disassemble any part of the Service

• Use automated tools to scrape or extract data from the Service without permission

To use certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration

• Maintain and promptly update your account information to keep it accurate

• Maintain the security and confidentiality of your login credentials

• Accept responsibility for all activities that occur under your account

• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information proves to be inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect fraud, abuse, or security breaches.

Free Tier: The Switchboard Free plan is available at no cost for individual users. No credit card is required to start.

Paid Plans: By subscribing to a paid plan, you agree to pay the applicable fees as described on our Pricing page. Fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle.

Price Changes: We may change our pricing at any time. We will provide at least 30 days' advance notice of any price increase. Price increases will take effect at the start of your next billing cycle.

Refunds: Annual subscriptions are non-refundable. Monthly subscriptions may be eligible for a prorated refund within 14 days of the billing date if you have not materially used the Service during that period.

Taxes: All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes that may apply to your subscription.

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Switchstack Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Switchstack Inc.

You retain ownership of any content you submit, post, or display on or through the Service (“User Content”). By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, and process your User Content solely for the purpose of providing the Service.

The Thoth AI engine, including its models, algorithms, and outputs, is the proprietary property of Switchstack Inc. You may not use Thoth-generated data to train competing AI models or systems.

In no event shall Switchstack Inc., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service

• Any conduct or content of any third party on the Service

• Any content obtained from the Service

• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims arising out of or relating to the Service exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or for any other reason we deem appropriate.

You may terminate your account at any time by contacting us or using the account settings in the Service. Upon termination:

• Your right to use the Service will immediately cease

• We will delete your personal data in accordance with our Privacy Policy, subject to legal retention requirements

• Any outstanding payment obligations will become immediately due

• Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and governing law provisions.

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class-action lawsuits.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
